Article 1 (Purpose)
These terms set out the rights, obligations and responsibilities of Nomadiq (the "Company") and its clients for the consultation, contracting, delivery and handover of the software development services the Company provides under the name NomadiqSoft (the "Service").
Article 2 (Definitions)
- "Service" means work the Company performs at a client's request to plan, develop and deploy web services, mobile apps, backend systems and similar software, and, where agreed, to operate and maintain them.
- "Client" means an individual or business that enquires about the Service or enters into a Service contract with the Company.
- "Quote" means the scope, schedule, price and payment terms the Company sends the client in writing, including by email, after a consultation.
- "Deliverables" means the source code, documents, designs and configuration the Company creates for the client while performing the Service.
Article 3 (Publication and changes)
- The Company publishes these terms at nomadiq.kr.
- The Company may amend these terms within the limits of applicable law. It announces changes on this page at least 7 days before they take effect, or 30 days before for changes unfavourable to clients.
- Contracts already concluded remain governed by the terms and Quote in force when they were concluded.
Article 4 (Consultations and quotes)
- Clients may enquire through the consultation form or by email. Consultations and Quotes are free of charge.
- A Quote binds neither party until a contract is concluded.
Article 5 (Formation of the contract)
- A contract is concluded when the client accepts the Quote in writing, including by email, or when both parties sign a separate contract.
- Where a separate contract differs from these terms, the contract prevails.
Article 6 (Price and payment)
- The price, payment schedule and payment method are set out in the Quote or contract.
- Tax invoices and receipts are issued as required by law.
Article 7 (Delivery and changes)
- The Company works to the agreed scope and schedule and, as a rule, shares a working version every week so the client can check it directly.
- Changes to the scope require written agreement between the parties, and the schedule and price may be adjusted accordingly.
- The client provides the materials, accounts and feedback the work needs in good time. The Company is not responsible for delays caused by late provision.
Article 8 (Acceptance)
On delivery, the client reviews the Deliverables within the period set in the Quote or contract and tells the Company about anything that differs from the agreed scope. The Company fixes those points and delivers again.
Article 9 (Rights to and handover of Deliverables)
- Once the client has paid in full, copyright in the Deliverables, including the right to make derivative works, and ownership of them pass to the client, and the Company hands over the source code, documentation and the server, domain and other accounts needed to run them.
- Open-source software and third-party services remain subject to their own licences and terms.
- Tools, libraries and know-how the Company owned before the Service or uses across projects remain the Company's. The Company grants the client a free licence to use them to the extent needed to use, modify and distribute the Deliverables.
- The Company presents the Deliverables in its portfolio only with the client's consent.
Article 10 (Confidentiality)
Neither party discloses the other's confidential business information or personal data learned during the Service to third parties, or uses it for anything other than the Service, without consent. This obligation survives the end of the contract.
Article 11 (Termination and refunds)
- The client may terminate the contract in writing at any time. The parties then settle the price of the work performed up to termination, and the Company refunds any amount already paid beyond that.
- If the Company can no longer provide the agreed Service for reasons on its side, it refunds the price of the part not performed.
- Either party may terminate the contract if the other seriously breaches it and does not remedy the breach within a reasonable period after a written request.
- Where the contract sets its own settlement basis or refund timing, that applies.
Article 12 (Defects and maintenance)
- The Company fixes defects within the agreed scope free of charge for the period set in the Quote or contract after handover.
- Other operations, new features and maintenance are subject to separate agreement.
Article 13 (Limitation of liability)
- Unless the Company is at fault, it is not liable for losses caused by events beyond its reasonable control, such as natural disasters, or outages or policy changes at external infrastructure such as cloud, payment, app store and AI API providers.
- App store review outcomes and search rankings are decided by each platform and are not guaranteed by the Company.
- Unless the law provides otherwise, the Company's liability for damages is limited to the price of the contract concerned. This limit does not apply to losses caused by the Company's intent or gross negligence.
Article 14 (Personal data)
- The Company uses the name, email, phone number and enquiry details received during consultations and contracting only for consultations, Quotes, performing the contract and contacting the client.
- What you enter in the consultation form is not stored on this website; it is sent directly from your email app to the Company's email address.
- Enquiries that do not lead to a contract are destroyed one year after the last contact, or earlier without delay on request. Contract records are kept for the periods required by law and then destroyed.
Article 15 (Disputes and jurisdiction)
- The parties first try to resolve disputes in good faith through discussion.
- Disputes not resolved by discussion go to the competent court under the Civil Procedure Act, and the laws of the Republic of Korea apply.
